Service Consumption Schedule

This Service Consumption Schedule (this “Schedule”) is effective as of the date set forth above and applies to all customers using the Service unless otherwise specified in the Customer Order.

StackOne provides the Service to its customers, which includes an integration platform that enables SaaS applications and AI applications to connect to Third-Party Systems via APIs, MCP, A2A, and other supported protocols. The Service is available on several different plans as described in the Terms and Conditions, Customer Order, and this Schedule.

Capitalised terms not defined in this Schedule have the meanings given in the Terms and Conditions.

1. Definitions

“Account” means Customer’s account on StackOne. An Account may have multiple Connectors, Linked Accounts, and Projects.

“Action Call” means a single request made by Customer’s systems to a StackOne application programming interface (API) endpoint, and the corresponding response returned by StackOne, whether such request is successful or unsuccessful. For purposes of usage measurement, each request to an API endpoint is counted as one (1) Action Call, regardless of the amount of data transmitted, the complexity of the request, or the number of records processed or returned, or the number of underlying Action calls to the Third-Party System needed to fulfill the request.

“Active Linked Account” means a Linked Account against which at least one (1) Action Call was made within a calendar month.

“A2A Call” means a communication between two or more AI Agents facilitated by the Service using the A2A protocol. Each discrete A2A request and response counts as one (1) A2A Call.

“Auto-Committed Linked Account” means a Linked Account that is automatically committed when Customer’s usage exceeds the Linked Account Committed Volume, as described in Section 3.4.

“Billing Period” means a calendar month running from the first to the last day of the month.

“Complimentary Linked Account” means a Linked Account provided without charge for the period stated in the Customer Order, as described in Section 3.6.

“Starter Plan” means a plan that grants Customer free access to Service features subject to the Starter Plan Requirements.

“Linked Account Committed Volume” means the number of Active Linked Accounts that Customer has committed to for the Term, as stated in the Customer Order.

“Plan” means a bundle of features included as part of the Service. Plans include the Starter Plan, Core Plan, and Enterprise Plan.

“Project” means a discrete workspace within an Account for organising Connectors and Linked Accounts.

2. Billing Models

The Service may be billed under one or both of the following models, as specified in the Customer Order:

(a) Linked Account Model - billing based on the number of Active Linked Accounts, as described in Section 3.

(b) Usage-Based Model - billing based on Action Calls and A2A Calls, as described in Section 4.

The applicable billing model(s) and associated pricing will be specified in the Customer Order. Where both models apply, they will be billed in accordance with their respective terms.

3. Linked Account Model

3.1 Initial Committed Volume. Customer commits to and shall have access to an agreed number of Active Linked Accounts for the Term, as stated in the Customer Order (“Linked Account Committed Volume”).

3.2 Pricing Tiers. The Customer Order will include a pricing-tier table specifying per-account pricing at different volume bands. All Linked Account fees, including increases during the Term, will be determined by reference to that table unless the Customer Order states otherwise.

3.3 Additional Linked Account Commitment. Customer may increase its Linked Account Committed Volume at any time by executing an Additional Linked Account Commitment Order via: (a) countersigned order form; (b) in-product ordering flow; or (c) email confirmation from an authorised representative, as permitted by the Customer Order.

The increase will take effect on the effective date specified in the Additional Linked Account Commitment Order (or, if none is stated, on the date StackOne enables the additional accounts). Fees will be pro-rated for the remainder of the Term and priced in accordance with the pricing-tier table in the Customer Order, based on the total committed volume after the increase.

3.4 Auto-Committed Linked Accounts. If Customer’s usage exceeds the Linked Account Committed Volume at any time during the Term, and Customer has not entered into an Additional Linked Account Commitment Order to cover the additional Linked Accounts, Customer will automatically commit to one additional Linked Account for each excess Active Linked Account (each, an “Auto-Committed Linked Account”) from the date of exceedance through to the end of the then-current Term.

Auto-Committed Linked Accounts become part of the Linked Account Committed Volume for the remainder of the Term and cannot be reduced until Renewal. Fees for Auto-Committed Linked Accounts will be pro-rated based on the time remaining in the then-current Term, unless otherwise stated in the Customer Order. Where the Customer Order specifies tiered pricing, fees for Auto-Committed Linked Accounts will be priced according to the then-applicable tier reached at the time of commitment.

3.5 Invoicing of Auto-Committed Linked Accounts. StackOne will issue an invoice for the Auto-Committed Linked Accounts under clause 3.4 either monthly in arrears or at a frequency as determined by StackOne in its sole discretion, in accordance with Clause 3. The pricing for Auto-Committed Linked Accounts shall be outlined by StackOne to Customer in writing. Customer will continue to be charged for Auto-Committed Linked Accounts until such time that the Customer: (a) enters into an Additional Linked Account Commitment Order for the additional Linked Accounts; (b) enters into a Renewal Term; (c) or this Customer Order is terminated in accordance with this Agreement. For avoidance of doubt, any discounts in a Customer Order will not apply to Auto-Committed Linked Accounts.

3.6 Complimentary Linked Accounts. Complimentary Linked Accounts are provided without charge for the period stated in the Customer Order. Complimentary Linked Accounts do not count toward Linked Account Committed Volume unless expressly stated, and may be converted to paid Linked Accounts (at which point they become part of the Linked Account Committed Volume and are billed pro-rata for the remaining Term).

3.7 No Rollover. Unused Linked Account Committed Volume does not roll over to any subsequent Term. At the end of each Term, any unused committed volume expires.

4. Usage-Based Model

4.1 Action Calls. Action Calls are measured as the number of requests made by Customer’s systems to StackOne API endpoints during a Billing Period. Each request counts as one (1) Action Call regardless of whether the request is successful or unsuccessful, the amount of data transmitted, the complexity of the request, or the number of records processed or returned.

4.2 A2A Calls. A2A Calls are measured as the number of agent-to-agent communications facilitated by the Service using the A2A protocol during a Billing Period. Standard Action Calls do not count as A2A Calls. A2A Calls are available for the Core and Enterprise Plans only.

4.3 Committed Spend. Where specified in the Customer Order, Customer commits to a minimum pre-paid spend on usage for the Term (“Committed Spend”). The Committed Spend is drawn down during the Term based on Customer’s actual usage of Action Calls and A2A Calls at the applicable flat rates. Overage rates apply once the Committed Spend is fully exhausted. Any unused Committed Spend at the end of the Term is non-refundable and does not roll over.

5. Starter Plan

5.1 The Starter Plan grants Customers access to the Service subject to the Starter Plan Requirements. Usage on the Starter Plan is subject to the following limits:

5.2 Starter Plan Overage. If Customer exceeds the Starter Plan Action Call limit (1,000 Action Calls per month), Customer will be charged overage at $0.003 per Action Call, billed monthly in arrears. Customer must have valid payment details on file to continue using the Service beyond the Starter Plan limit.

5.3 Single Account. Customer shall only maintain a single Account on the Starter Plan. Customer shall not: (a) use the Starter Plan to support the end use of the Service by any other party (except where Customer uses the Service to enable End Customers to connect their accounts via StackOne Integrations as contemplated by the Agreement); (b) create multiple Accounts on the Starter Plan; or (c) create Starter Plan Accounts on a third party’s behalf.

5.4 Features Not Included. A2A Calls are not available on the Starter Plan and require a paid subscription.

5.5 No Warranty or SLA. The Starter Plan is provided ‘as is’ and ‘as available’ without any warranty of any kind. The Starter Plan is not subject to any service level agreement, uptime commitment, or support guarantee beyond in-app chat support. StackOne may prioritise support and resources for paid customers over Starter Plan customers.

5.6 Modifications to Starter Plan. StackOne may modify the Starter Plan, including usage limits, at any time in its sole discretion. StackOne will use reasonable efforts to provide thirty (30) days’ notice of material changes but is not obligated to do so.

5.7 Suspension and Termination. StackOne reserves the right to suspend or terminate Customer’s access to the Starter Plan, without liability, if: (a) Customer breaches these terms, the Acceptable Use Policy, or the Agreement; (b) Customer creates multiple Accounts or creates Accounts on behalf of third parties; (c) StackOne reasonably determines that Customer’s use of the Starter Plan is abusive, excessive, or harmful to StackOne or other customers; (d) StackOne discontinues the Starter Plan; or (e) at any time, for any reason, in StackOne’s sole discretion.

5.8 Upgrading to a Paid Plan. Customer may upgrade from the Starter Plan to a paid plan at any time through Customer’s Account dashboard (where available) or by contacting StackOne. Upon upgrading: (a) the Starter Plan terms in this Section 5 will cease to apply; (b) the Agreement and this Schedule applicable to the paid plan will continue to apply.

6. Measurement and Reporting

6.1 Measurement. StackOne will measure usage (including Active Linked Accounts, Action Calls, and A2A Calls, as applicable) on a monthly basis.

6.2 Usage Dashboard. StackOne will provide usage summaries to the Customer. Customer may also request usage summaries from StackOne.

6.3 Disputes. Any bona fide usage disputes must be raised in writing within fifteen (15) days of the relevant usage summary. Both parties will cooperate in good faith to resolve any discrepancies. Undisputed amounts remain due in accordance with the Terms and Conditions.

7. Billing

7.1 Annual Commitment. Paid Plans require an annual commitment as specified in the Customer Order. The annual commitment is payable in accordance with the payment terms set out in the Customer Order or, if not specified, in accordance with the Terms and Conditions.

7.2 Overage Billing. If Customer’s usage exceeds any committed volume or Starter Plan limit, additional usage will be invoiced monthly in arrears at the applicable overage rates specified in this Schedule or the Customer Order.

7.3 Pro-Ration. Fees for Auto-Committed Linked Accounts and any additional committed usage purchased mid-Term will be pro-rated based on the time remaining in the then-current Term, unless otherwise stated in the Customer Order.

7.4 No Rollover. Unused committed volume (whether Linked Accounts, Action Calls, or A2A Calls) does not roll over to any subsequent Term. At the end of each Term, any unused committed volume expires.

7.5 Invoicing. StackOne will provide Customer with invoices setting out the Fees due. Invoices for overage will include reasonable detail of the usage giving rise to the overage charges.

8. Changes to this Schedule

StackOne may update this Schedule from time to time. If StackOne makes updates, StackOne will update the Effective Date at the top of this Schedule.

Unless the Agreement between the parties supersedes this Schedule, any updates will become effective for Customer upon renewal or entry into a new Customer Order after the updated version of this Schedule goes into effect.

For clarity, any updates that are required by Applicable Law or related to a new feature or product release will be effective upon notice to Customer and, following such notice, Customer’s continued use of the Service on or after the Effective Date thereof constitutes acceptance of the updated version.

If StackOne makes a material update, StackOne will use reasonable efforts to alert Customer through the Service dashboard or via email prior to the update taking effect.
